Terms and Conditions for Participation

1. Definitions and Scope

These comprehensive General Terms and Conditions (GTC) constitute the entire agreement between Naree Siam Group Europe (the 'Organizer') and the contracting legal entity (the 'Exhibitor') regarding participation in the Thai & Asia Property Showcase (the 'Event'). The scope of these terms covers all aspects of the exhibition including booth allocation, venue selection, global marketing strategies, and on-site technical support. By submitting a registration, the Exhibitor acknowledges that these GTC supersede any prior verbal or written understandings and take precedence over any standard purchasing conditions held by the Exhibitor. These terms also extend to any ancillary services, such as hospitality or technical installations, ordered through the Organizer’s official service portal at any point before or during the Event dates.

2. Application and Confirmation

The submission of an application, whether via our digital registration portal or a signed physical document, represents a formal and irrevocable offer to enter into a contract with the Organizer. A legally binding agreement is solidified only once the Organizer issues a written Confirmation of Admission and the initial non-refundable deposit is cleared. The Organizer reserves the absolute right to select Exhibitors based on qualitative criteria, including project viability, brand reputation, and thematic fit with the Asian real estate sector. The Organizer is not required to provide specific feedback regarding rejected applications and may limit the number of participants from specific geographical regions to maintain a balanced and competitive environment for all attendees.

3. Stand Allocation and Use

The Organizer retains final authority over the floor plan and the placement of individual booths to ensure optimal visitor flow and a cohesive premium aesthetic. While requests for specific positions (e.g., corner stands or proximity to entrances) may be noted, no guarantee of such placement is granted. Exhibitors must exclusively display projects or services described in their approved application; any modification of the exhibited portfolio requires express written consent. Subletting, sharing booth space with non-registered entities, or displaying third-party marketing materials is strictly prohibited. If an Exhibitor fails to occupy their assigned space or utilizes unauthorized branding, the Organizer reserves the right to reassign the area without refunding any previously paid participation fees.

4. Payments, Fees, and Cancellations

Participation fees and additional service costs are due as per the installment schedule provided in the formal invoice. Timely payment is a prerequisite for access to the exhibition grounds; failures to meet payment deadlines entitle the Organizer to rescind the contract immediately. In the event of a withdrawal by the Exhibitor, the following liquidated damages apply: 50% of the total contract value for cancellations submitted more than 90 days before the Event, and 100% of the total value for cancellations within 60 days of the Event start date. These amounts represent a pre-estimate of losses, including administrative work, marketing spend already incurred, and the decreased likelihood of re-selling the space. Any bank fees associated with international wire transfers are the sole responsibility of the Exhibitor.

5. Marketing and Promotion

The Organizer executes a multi-tiered promotional campaign involving digital advertising, targeted email newsletters to high-net-worth investors, and collaborations with major real estate media outlets. To facilitate this, Exhibitors must provide high-quality assets (logos in vector format, professional project descriptions, and high-resolution imagery) by the stated deadlines. Failure to provide materials on time may result in the Exhibitor's exclusion from the official Event catalog. The Organizer is authorized to use these assets for the Event’s promotion and archives. While the Organizer aims for accuracy in all printed and digital directories, it accepts no liability for errors or omissions resulting from incorrect data provided by the Exhibitor or technical faults in publication platforms.

6. Responsibilities of the Exhibitor

Exhibitors are responsible for the structural integrity and aesthetic quality of their displays. Stands must be fully set up and ready for inspection by the designated deadline; late setup may lead to exclusion from the opening ceremony. All materials used must comply with European safety standards (e.g., B1 fire-retardant certification) and local building regulations. It is mandatory for booths to be staffed by professional representatives during all official opening hours. Leaving a stall unattended or commencing dismantling before the official closing time of the Showcase is considered a breach of contract and may result in a financial penalty to be determined by the Organizer, as it negatively impacts the professional atmosphere for visitors and fellow participants.

7. Responsibilities of the Organizer

The Organizer shall manage the general venue infrastructure, including hall lighting, climate control, and standard janitorial services in common areas. The Organizer facilitates the logistics of the Event but acts only as an agent when introducing third-party contractors for customized stand construction, internet, or catering. Consequently, the Organizer is not liable for the performance, delivery times, or pricing of such external vendors. Furthermore, the Organizer does not guarantee specific results, such as a minimum number of visitors, a specific demographic of attendees, or the realization of property sales. Success at the Event depends on the Exhibitor’s own marketing efforts and the quality of the projects presented to the audience.

8. Liability and Insurance

The Organizer’s primary liability is limited to cases of gross negligence or intentional misconduct. The Organizer is not liable for theft, loss, or damage to exhibition goods, equipment, or personal property belonging to the Exhibitor or their staff, regardless of whether a security service is employed for the hall. Exhibitors are strictly required to maintain their own comprehensive insurance policies, including professional liability, property cover, and employer's liability, for the duration of the setup, event, and dismantling periods. In any event where the Organizer is found liable for damages, the total compensation payable shall be capped at the total net participation fee paid by the Exhibitor. Force majeure events that lead to the postponement or cancellation of the Showcase relieve both parties of their performance obligations.

9. Data Protection and Image Use

The Organizer reserves the right to capture photography and video footage of all exhibition areas for future promotional, editorial, or commercial use. By participating, the Exhibitor waives any claims to portrait rights for their staff on-site. Both parties pledge to comply with the General Data Protection Regulation (GDPR) regarding the collection and processing of any visitor information. The Exhibitor is solely responsible for ensuring that any leads captured at their stand are processed legally under their own privacy policy. Any sharing of data between the Organizer and the Exhibitor for joint marketing purposes must be governed by a dedicated Data Processing Agreement (DPA) specifying the security measures and purposes of the data exchange to ensure full transparency for the data subjects.

10. Governing Law and Contact

These GTC and all legal relations between the Organizer and the Exhibitor are governed by the laws of Belgium, without regard to conflict of law principles. The place of performance and the exclusive place of jurisdiction for any disputes arising directly or indirectly from this contract is the city of Brussels. Should any individual provision of these terms be found invalid or unenforceable, the validity of the remaining provisions shall not be affected.
